I. INCORPORATION OF A COMPANY:
 

It is in the companies best interest to become incorporated in Mexico. Due to NAFTA, U.S. companies operating in Mexico can take advantage of fiscal benefits. Therefore, we will assist in the process of becoming incorporated. The following are a list of requirements for becoming incorporated.


The following permits will take 2-3 weeks to obtain:

• Proxies by shareholders to incorporate Mexican Subsidiary duly notarized and legalized before the Mexican Consulate.
• Articles of incorporation and By-laws of Subsidiary.
• Permit of the Ministry of Foreign Affairs to incorporation.
• Drafting of public deed of incorporation.
• Recording the subsidiary before the Mexican Federal Taxpayers’ Registry (R.F.C.)
• Authorization by the Court of By-Laws.
• Recording the Subsidiary before the Public Registry of Property and Commerce.
• Recording the Subsidiary before the National Registry of Foreign Investments.
• Issuance of license to operate by the Municipal Government.
• Recording the Subsidiary before the Social Security Institute (IMSS).
• Recording the Subsidiary before the Housing Institute (INFONAVIT).
• Recording the Subsidiary before the National Chamber of Industry (CANACINTRA).
• Validation of Subsidiary’s Ledger and Journal.


II. IN BOND CORPORATIONS (Maquila Program):
 

In Mexico, these are called maquilas. When an assembly line is initially set up, there are many important permits and requirements which need to be met, these are listed below. We will make sure all necessary paper work is obtained and filed with the Mexican government.


The following permits will take 3-4 weeks to obtain:

 

•Drafting and filing the Maquila (Manufacturing) Contract.
•Drafting and filing the Maquila Program Application.
•Recording the Maquila Program and import permits before the Mexican Customs Department.
•Canceling of bonds or letters of guarantee delivered to the Mexican Customs Department.
•Drafting and Executing Bailment Agreement.
•Recording Bailment Agreement before the Public Registry of Commerce.

III. INDUSTRIAL AND HAZARDOUS LINE OF BUSINESS
The following permits will take 3-4 weeks to obtain:

•Operating License.
•Residual water discharges manifest.
•Hazardous Waste Generator Manifest.
•Hazardous Waste Delivery transportation and Reception Manifest .
•Ecological Waybills.
•Hazardous Waste Log.
•Semi-annual Hazardous Waste Report.
•Annual hazardous Waste report
.

IV. LABOR RELATED ISSUES
The following permits will take 1 day to obtain:

•Drafting of labor Contracts.
•Drafting of Shop Rules.
•Recording of Shop rules before Labor department.
•Creating Joint Commission of employee training.
•Recording Joint Commission of Employee training before the labor Department.
•Creating Joint Commission of Employee Safety and Hygiene.
•Recording Joint Commission of Employee Safety and Hygiene before the labor department.
•Authorization to operate.
•Forklift and Tow Operators Licenses.
•Authorization for Steam Generators and Containers Subjects to Pressure.
•Preventive Medicine Service.
•Safety and Hygiene Procedure Manual.
•Materials safety data Sheet Manual

V. HEALTH DEPARTMENT
The following permits will take up to 1 week to obtain:

•Sanitary License.
•Authorization of construction diagrams.
•Cafeteria permits.


VI. IMMIGRATION ISSUES
 

Time to obtain the following varies:

•Recording the Subsidiary before the Ministry of Interior.
•Preparing and filing applications requesting work permits for foreign personnel.

 

CORPORATE ADMINISTRATIVE ISSUES

The following permits will take 1-2 weeks to obtain:

•Acquiring books to be used as Shareholders’ Registry, Shareholders’ Meeting Minutes Registry, Board of Directors’ Meeting Minutes Registry, Variations of Capital Registry, Ledger and Journal.
•Making entries into Shareholders’ Registry Book.
•Issuance of Stock Certificates.
•Opening of bank accounts and authorization of signatures.
•Monthly Reports to National Statistics Bureau (I.N.E.G.I.)
